“Woodworking Tool Giveaway” Rules

The “Woodworking Tool Giveaway” Rules (“Rules”) shall govern the relationship between Woodpeckers, LLC, an Ohio limited liability company (“Sponsor” or “we”) and any person (hereafter referred to as “you”) participating in the “Woodworking Tool Giveaway” (“Sweepstakes”). If you do not agree with any of the terms and conditions in the Rules, please do not access or otherwise participate in the Sweepstakes. Your participation in the Sweepstakes shall be deemed to be your agreement to be bound by the Rules. We reserve the right to amend the Rules at any time, for any reason. Your continued participation in the Sweepstakes after we make changes to the Rules is deemed to be acceptance of those changes.

1. OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES. ELIGIBILITY: Open only to legal residents of the 50 States of the United States and the District of Columbia who have reached the age of majority in the participant’s jurisdiction of residence at time of entry. Employees, officers and directors of the Sponsor, its promotional partners of the Sweepstakes program, their respective affiliates, subsidiaries, advertising and promotion agencies, and the immediate family members (spouses and parents, children and siblings and their spouses, regardless of where they live) or members of the same households (whether related or not) of such individuals (collectively, “Sweepstakes Entities”) are not eligible. Void where prohibited by law. Participation in the Sweepstakes shall be subject to all federal, provincial, state and local laws and regulations. 
2. TO ENTER: The Sweepstakes begins on ____11/8/2023________ and ends on ___11/23/2023______________. To enter, go to https://www.woodpeck.com/sweepstakes-wp-1123 and access the Sweepstakes entry form. Complete the required information and submit your entry. There is only one prize for each period the Sweepstakes is offered at Sponsor’s sole discretion. Limit one entry per person per day.

Note that by submitting the entry form and providing personally identifying information, we will retain certain personally identifying information from you (“Personal Data”). The type of personal information collected may include name, address, phone number, birth date, e-mail address, and other demographic information. The type of information you provide will determine the personal information that is collected.

By participating in the Sweepstakes, you represent and warrant that you are a natural person who is assigned the e-mail address disclosed, and that all information submitted by you in your online entry form is true, accurate, and complete in all respects.

Note that by participating in Sweepstakes, you consent to receive emails and to subscribe to newsletters or other marketing information from the Sponsor. But you have the option to unsubscribe. There is no cost or obligation associated with subscribing to the newsletter. The collection and use of entrant information will be governed by Sponsor’s on-line privacy policy, available for viewing at http://www.woodpeck.com/privacypolicy.html. By entering, you agree to be bound by these Rules, the Privacy Policy and the final decision of the Sponsor.

3. RANDOM DRAWING/PRIZE/ODDS OF WINNING: Representatives of the Sponsor will conduct a random drawing to award the prize within two weeks of the Sweepstakes ending. The prize is listed in the Sweepstakes, and is listed at the bottom of these rules with its value.

By enrolling in the Sweepstakes, you understand and acknowledge that the Sponsor makes no representations or warranties whatsoever about the Sweepstakes and/or the prize(s), whether express, implied, at common law, or by statute, including, without limitation, any warranty of merchantability or fitness for a particular purpose, and the Sponsor expressly disclaims all liability and responsibility for any representation, warranty, statement, or information made or communicated (orally or in writing) to you by any Sponsor employee, agent, independent contractor, or representative.

4. Odds of winning will be determined by the number of eligible entries received. Winner will be notified by email, phone, postal mail and/or express mail at Sponsor’s sole discretion. If a potential winner fails to respond within 10 days of Sponsor’s notification attempt, the prize will be forfeited and an alternate winner will be selected at random from the remaining eligible entries. A Winner will be required to execute and/or deliver (i) an affidavit of eligibility, (ii) a release of liability and (where legal) publicity release, which must be returned within time period specified in notification letter, (iii) a copy of a valid government issued identification card, and (iv) a completed Form W-9 or similar tax identification form, otherwise the prize will be forfeited and an alternate winner may be selected. Return of prize notification as undeliverable will result in the forfeiture of the prize and an alternate winner will be selected. No prize transfer or cash redemption is allowed. No prize substitution, in whole or in part, is allowed except by Sponsor due to prize unavailability or any other reason as solely determined by Sponsor in which case a prize of comparable or greater value will be awarded.
5. GENERAL: All federal, provincial, state and local taxes on prize and all expenses related to acceptance and use of prize, not otherwise specified, are the sole responsibility of winner. Winner of the prize will be issued an IRS 1099 Form for the value of the prize from the Sponsor. In the event of applicable law(s) requires Sponsor to withhold taxes associated with a prize, Sponsor will deduct or the Winner shall pay Sponsor cash in the amount of any applicable withholding taxes imposed by the U.S. and applicable state governments from value of prize award and the value of the prize to be awarded will be adjusted accordingly. By participating, you agree [a] to these Rules and decisions of Sponsor made at Sponsor’s sole discretion, which shall be final in all respects relating to this Sweepstakes; and [b] to release, discharge and hold harmless Sponsor and Sweepstakes Entities from any and all injuries, liability, losses and damages of any kind resulting from your participation in the Sweepstakes or your acceptance, use or misuse of a prize including, without limitation, personal injury, death and property damage; and if a winner, [c] to permit Sponsor to use your name, photograph, likeness, statements, biographical information, voice, voice likeness and city and state address for advertising, publicity and promotional purposes in all media, including but not limited to on air and online (“Promotions”), in perpetuity, without compensation (unless prohibited by law) and agree to execute specific consent and any other documents to such use upon request and agree that the Sponsor owns all intellectual property rights related to the Promotions. Sponsor and/or any of Sweepstakes Entities is not responsible for and shall not be liable for: [a] electronic, hardware or software program, network, Internet, computer or other technical malfunctions, failures, or difficulties of any kind, including without limitation, server malfunction or by any human error which may occur in the collection, processing and transmission of data, including, without limitation, the Personal Data; [b] lost, stolen, late, misdirected, illegible, incorrect or incomplete information, Personal Data, entries or postage-due mail; [c] any type of graphical or other error in the advertising or printing of the Sweepstakes or in the administration of the Sweepstakes; or [d] any condition that may cause the administration, security or proper play of the Sweepstakes to be disrupted or corrupted; and in such event Sponsor reserves the right in its sole discretion to cancel or suspend the Sweepstakes or any portion thereof and to award the prize via a random drawing from among all eligible entries legitimately received prior to cancellation. Entry information becomes property of Sponsor.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Internet entry must be made by the entrant only at the authorized Web site address. Entries may not be made by any other individual or any entity, and/or originate at any other Internet Web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites. Any winner who enters by any of the methods described above will be disqualified and an alternate winner will be selected. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the person in whose name the e-mail account is registered at the time of entry. Potential winner may be required to provide evidence that winner is the authorized account holder of the e-mail address associated with the winning entry. Use of any device to automate entry is prohibited. Sponsor’s decisions are final and binding.

6. DISPUTE RESOLUTION/CHOICE OF LAW: Each entrant agrees that all issues and questions concerning these Rules and participation in the Sweepstakes shall be governed by Ohio law without giving effect to any principles of conflicts of law of any jurisdiction. Entrant agrees that any action at law or in equity arising out of or relating to this Sweepstakes shall be filed only in the state or federal courts located in Cuyahoga County in the state of Ohio, United States, and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action. Entrant agrees that: [a] any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action; and [b] any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Sweepstakes but in no event attorneys’ fees; and [c] under no circumstances will any entrant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
7. USE OF ENTRANT INFORMATION: As permitted by law and in accordance with Sponsor’s Privacy Policy, you are providing Sponsor with permission to contact you about upcoming promotions, special offers or for other reasons via electronic and ordinary mail. If you would prefer not to hear from us, please remember to check the opt out box when entering the Sweepstakes or opt out in accordance with Sponsor’s on-line privacy policy, available for viewing at http://www.woodpeck.com/privacypolicy.html
8. WINNER LIST: To receive the winner’s name, mail a self-addressed, stamped envelope to be received by _____11/27/2023_________, to: “Woodworking Tool Giveaway” Winner, 13700 Prospect Rd., Strongsville, OH 44149. 9. SEVERABILITY. In case any one or more of the provisions contained herein shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of these Rules, and these Rules shall be construed as if such invalid, illegal or unenforceable provisions had not been contained herein.
10. SURVIVAL. The representations, warranties, covenants and agreements set forth herein shall survive the expiration of the Sweepstakes.
